Our stated public benefit purpose

The following purpose is stated verbatim in the certificate of incorporation.

To expand equitable access to innovative healthcare solutions, including neuromodulation, holistic therapies, and community-based support programs, with a focus on improving outcomes for underserved populations such as veterans, individuals experiencing chronic pain, and those facing systemic healthcare barriers.

What a Delaware public benefit corporation is

A Delaware public benefit corporation is a for profit corporation that is formed to produce a public benefit and to operate in a responsible and sustainable manner. The specific public benefit is named in the certificate of incorporation.

The status changes what the board is required to weigh. In managing the business, the directors must balance three things: the pecuniary interests of the stockholders, the best interests of those materially affected by the corporation’s conduct, and the specific public benefit stated in the certificate of incorporation.

This is a legal commitment, not a certification. Public Benefit Group is a for profit corporation. It is not a nonprofit, a charity, or a certified B Corporation.

Tributary Purpose Covenant

Each operating subsidiary signs the Tributary Purpose Covenant, an agreement tying its operations to the stated public benefit above. The covenant is the mechanism that carries the parent corporation’s commitment down into the companies that generate revenue.
